Terms of Use for Letzdine Customers

1. Scope

These Terms of Use apply to the use of the Letzdine platform by customers, in particular for searching for and discovering restaurants, placing orders for delivery or pickup, and making table reservations.

They also apply to orders and reservations made via restaurant websites, insofar as those websites are technically based on the Letzdine system.

These Terms of Use govern the relationship between the customer and the operator of Letzdine with regard to the use of the platform. The meals, drinks, other products, deliveries, pickups, and reservations offered by each restaurant are, in principle, the responsibility of the respective restaurant.

3. Definitions

Letzdine / Platform
the website, mobile versions, applications, tools, and technical systems operated under the Letzdine brand, including connected restaurant websites based on the Letzdine system.
Customer
any natural person or legal entity using the platform to find restaurants, place orders, or make table reservations.
Restaurant
any restaurant or other provider listed on the platform that offers meals, drinks, other products, delivery services, pickups, or reservations via Letzdine.
Offer
all products, services, prices, delivery terms, pickup times, reservation options, and other information provided by the restaurant on the platform.
Order
the order of meals, drinks, or other offered products submitted by the customer to a restaurant via the platform.
Reservation
the request or booking of a table for a specific date and time submitted by the customer to a restaurant via the platform.
Contract
the agreement concluded between the customer and the respective restaurant regarding an order or reservation. Unless explicitly stated otherwise, Letzdine itself is not a party to the contract concerning meals, drinks, deliveries, pickups, or reservations.
Customer Account
the customer’s personal user account on Letzdine, if registration has been completed.
Guest Order
an order or reservation placed without creating a permanent customer account, insofar as this function is offered by the respective restaurant.

4. Role of Letzdine

Letzdine provides a technical platform through which customers can find restaurants, view offers, submit orders, and request or make reservations.

Unless explicitly stated otherwise, Letzdine is not the manufacturer, seller, preparer, or deliverer of the meals and drinks offered and is not itself the operator of the listed restaurant.

Responsibility for the relevant offer, in particular with regard to availability, preparation, ingredients, allergens, portion sizes, prices, delivery capability, reservation capacity, and proper performance of the contract, lies with the respective restaurant.

5. Use of the Platform and Customer Account

The use of certain features may require registration and the creation of a customer account. The customer is required to provide complete and accurate information during registration and use of the platform and to update that information if it changes.

Guest orders or guest reservations may be possible if the respective restaurant has enabled this function. Even in the case of a guest order, the customer must provide correct and complete information.

Access credentials for a customer account must be kept confidential and may not be shared with unauthorized third parties. The customer is responsible for all activities carried out through the customer account insofar as the customer is responsible for them.

Letzdine is entitled to temporarily or permanently restrict or block customer accounts if there are concrete indications of misuse, false information, fake orders, repeated failure to collect orders, unjustified chargebacks, repeated no-shows for reservations, or any other breach of these Terms of Use.

6. Offers and Restaurant Information

The information displayed on the platform regarding restaurants and their offers is essentially provided by the respective restaurant or managed on its behalf.

Letzdine endeavors to ensure that this information is displayed correctly from a technical perspective, but does not guarantee that all information provided by the restaurant is complete, current, and error-free at all times.

This applies in particular to information relating to:

  • meals and drinks,
  • prices,
  • additives and allergens,
  • opening hours,
  • delivery areas,
  • delivery times,
  • minimum order amounts,
  • reservation times,
  • availability,
  • images and descriptions.

Customers with allergies, intolerances, or special dietary requirements are advised to contact the restaurant directly before placing an order.

7. Formation of Orders and Reservations

By submitting an order via the platform, the customer makes a binding offer to the respective restaurant.

A contract relating to an order is concluded as soon as the restaurant accepts the order or the acceptance is confirmed to the customer via the platform, by email, or by any other electronic means.

By submitting a reservation, the customer submits a reservation request or, where technically provided, a binding reservation. A reservation becomes binding as soon as it is confirmed by the restaurant or shown as confirmed.

Automatic confirmations of receipt merely document that the order or reservation request has been successfully received by the system and do not yet constitute acceptance unless explicitly stated otherwise.

8. Customer Obligations

The customer is required to provide all information necessary for ordering, delivery, pickup, or reservation correctly and completely.

The customer must be reachable using the contact details provided for any questions from the restaurant or Letzdine, insofar as this is necessary for processing the order or reservation.

Abusive, false, or obviously unserious orders or reservations are prohibited.

9. Prices, Fees, and Payment

The applicable prices, delivery charges, minimum order amounts, and other fees are those displayed to the customer at the time the order or reservation process is completed.

Unless otherwise stated, all prices are shown inclusive of the applicable statutory VAT or sales tax.

Depending on the restaurant and the offer, the following payment methods may be available:

  • cash payment on pickup,
  • cash payment on delivery,
  • card payment on pickup,
  • card payment on delivery,
  • online payment.

The payment methods available in each case are shown to the customer during the ordering process.

Online payments are processed, depending on the restaurant, via the payment provider integrated by that restaurant. This may in particular be done via Stripe. Depending on the options enabled by the restaurant, other supported payment methods, including PayPal or other payment methods supported by Stripe, may also be offered.

Where payments are processed online via the restaurant’s payment system, payment collection is carried out in the name and on behalf of the respective restaurant.

10. Vouchers, Promo Codes, and Benefits

Letzdine and/or individual restaurants may offer vouchers, promo codes, special offers, or other benefits.

Such benefits apply only within the stated scope and during the specified period. Cash payment is excluded unless mandatory law provides otherwise.

Vouchers and promo codes may only be used in accordance with the stated conditions. In the event of misuse, manipulation, or unauthorized use, Letzdine or the respective restaurant may refuse redemption or cancel it afterward.

Unless explicitly stated otherwise, vouchers and promotions cannot be combined.

11. Bonus Points / Loyalty Points

Where Letzdine or individual restaurants offer bonus points, loyalty points, or comparable programs, the applicable conditions are those displayed on the platform, in the customer account, or by the respective restaurant.

Bonus points may in particular be linked to registration, a customer account, a specific restaurant, a minimum order value, a validity period, or other conditions.

The validity, redeemability, and scope of bonus points depend on the conditions displayed in each case. There is no entitlement to cash payment, transfer, or retroactive crediting unless this is expressly provided for.

Letzdine and the restaurants reserve the right to amend, supplement, or discontinue loyalty programs for legitimate reasons, provided this does not unlawfully affect rights already acquired by the customer.

12. Tip

Where a tipping function is offered, a tip is a voluntary payment by the customer.

Depending on the technical setup, a tip may be given online, on delivery, or on pickup. If paid online, it is paid together with the order via the offered payment system.

The tip is intended for restaurant staff, the delivery driver, or other recipients designated by the restaurant. Internal distribution is the responsibility of the respective restaurant or the delivery or service staff engaged by it.

A tip that has already been confirmed cannot generally be withdrawn unilaterally unless mandatory legal rights provide otherwise.

13. Delivery and Pickup

In the case of delivery orders, the customer must provide a correct and complete delivery address and reachable contact details.

The customer must ensure that they or a person authorized by them can be reached at the specified delivery address at the agreed or estimated delivery time and is able to receive the order.

If handover is not possible, or is only possible with disproportionate effort, due to incorrect information, lack of response, or the customer’s absence, the restaurant may refuse or stop the delivery or charge the customer reasonable additional costs incurred as a result, insofar as this is legally permitted.

In the case of a pickup order, the customer must collect the order from the restaurant within the communicated time slot.

Delivery times and pickup times are, unless expressly stated to be binding, only non-binding estimates.

14. Table Reservations

In the case of table reservations, the customer must correctly state the number of persons, date, time, and contact details.

If a reserved table cannot be used, the reservation should be cancelled or amended as early as possible.

Repeated unjustified no-shows or abusive reservations may lead to restrictions on certain functions or the blocking of the customer account.

The customer is only entitled to a specific table or seat if this has been expressly confirmed by the restaurant.

15. Changes and Cancellations

Whether and until when an order or reservation can be changed or cancelled by the customer depends on the stage of processing and the actual possibilities of the restaurant.

Once a restaurant has started preparation, specially processed certain ingredients, or firmly scheduled a reservation, free cancellation may be excluded.

Cancellations or requests for changes should, where possible, be made via the functions provided for this purpose on the platform. If this is not technically possible, the restaurant must be contacted directly without delay.

Letzdine may technically forward requests for changes or cancellations but does not guarantee their success unless Letzdine itself is expressly a contracting party.

16. Refusal or Cancellation by the Restaurant or by Letzdine

A restaurant may in particular refuse or cancel orders or reservations if:

  • the offered products are no longer available,
  • capacity has been exhausted,
  • the delivery area cannot be served,
  • customer data is incorrect or incomplete,
  • the customer cannot be reached,
  • there is suspicion of misuse or fraud,
  • or in cases of force majeure.

Letzdine may technically reject certain orders or reservations or hold them back for review where there are objective indications of misuse, multiple bookings, fake orders, payment risks, or other significant irregularities.

In the event of a valid cancellation of services already paid for, a refund shall be made according to the extent of the service actually owed and the stage of performance of the contract, insofar as provided by law or contract.

Refunds are generally made via the payment method originally used. If payments were processed via the restaurant’s payment system, the refund is made via that system or via the respective payment service provider.

17. Age-Restricted Products

Certain products may be subject to a legal minimum age, in particular alcoholic beverages or other age-restricted items.

In such cases, the restaurant may make handover conditional upon presentation of valid proof of age. If such proof is not provided, handover of the respective product may be refused and the order may be cancelled in whole or in part.

Any refund claims in such cases are governed by the applicable legal provisions and the circumstances of the individual case.

18. Reviews and User-Generated Content

Where Letzdine offers review, comment, or other content functions, only content that is objective, truthful, and legally permissible may be published.

In particular, the following content is prohibited:

  • insulting, discriminatory, threatening, or unlawful content,
  • content containing false factual statements,
  • content containing advertising for third parties,
  • content infringing third-party rights,
  • or content containing harmful code, viruses, or comparable material.

The customer is solely responsible for the content they publish.

Letzdine is entitled to review reported or obviously unlawful content and to temporarily hide, shorten, or remove it if a violation of these Terms of Use, legal provisions, or third-party rights is established.

By publishing reviews or other content, the customer grants Letzdine a simple, non-exclusive, geographically unrestricted right to display such content on the platform and to process it technically in connection with operating the platform.

19. Complaints and Claims

Complaints concerning meals, drinks, delivery performance, pickup, reservation, or any other performance of the contract by the restaurant must primarily be addressed directly to the respective restaurant.

Letzdine may assist the customer and the restaurant in their communication and support complaints on a technical or organizational basis, but is not itself obliged, unless expressly stated otherwise, to perform the services arising from the contract concluded with the restaurant.

Complaints concerning the platform itself, technical errors, customer account functions, or payment-related displays may be addressed to Letzdine:

Complaints should be made as soon as possible after the issue is discovered and should describe the order or reservation as precisely as possible.

20. Statutory Consumer Rights / Right of Withdrawal

The customer’s statutory rights remain unaffected.

In the case of contracts relating to perishable goods, freshly prepared meals, or other goods which, for reasons of hygiene or due to their nature, are not suitable for return, a right of withdrawal may be excluded in whole or in part.

The same applies to services to be provided on a specific date or within a precisely defined period, in particular certain reservations or comparable appointment-related services, insofar as the applicable law provides for this.

Where a statutory right of withdrawal exceptionally exists for certain services, the statutory provisions of the applicable consumer law shall apply.

21. Prohibited Use

The customer is prohibited from:

  • placing false or abusive orders or reservations,
  • using incorrect identity, contact, or payment data,
  • circumventing the platform’s technical protection measures,
  • using automated access without authorization,
  • disrupting the platform,
  • transmitting unlawful content,
  • or otherwise using the platform abusively.

In the event of a breach, Letzdine may restrict access, refuse certain orders or reservations, block accounts, and, where appropriate, take further legal action.

22. Liability

Letzdine shall be liable, within the framework of the statutory provisions, for damages resulting from intentional conduct or gross negligence by Letzdine, its legal representatives, or its vicarious agents.

In the event of a slightly negligent breach of essential contractual obligations, liability is limited to the typical and foreseeable damage. Essential contractual obligations are those whose performance makes proper use of the platform possible in the first place and on whose compliance the customer may regularly rely.

The above limitations of liability do not apply in the event of injury to life, body, or health, nor in cases of mandatory statutory liability.

Insofar as Letzdine is not itself a party to the contract concluded with the restaurant, Letzdine is in particular not liable for:

  • the actual availability of the products offered,
  • the quality, nature, or compatibility of meals and drinks,
  • delays or failures in delivery attributable to the restaurant,
  • incorrect information provided by the restaurant,
  • the execution or availability of a reservation by the restaurant,
  • or the proper performance of the restaurant’s services.

23. Data Protection

Personal data is processed in accordance with Letzdine’s Privacy Policy as amended from time to time.

To the extent necessary for the performance of orders or reservations, the data provided by the customer is transmitted to the respective restaurant as well as, where applicable, to integrated technical or payment service providers.

24. Amendments to These Terms of Use

Letzdine is entitled to amend these Terms of Use for the future if there is a legitimate reason for doing so, in particular in the event of:

  • changes to the platform’s functions,
  • changes to legal requirements,
  • changes to technical processes,
  • changes to payment or ordering processes,
  • or adjustments for security reasons.

Material changes will be communicated to the customer in an appropriate manner. If the customer continues to use the platform after the amendments come into effect, this shall be deemed acceptance, insofar as this is legally permissible.

25. Consumer Dispute Resolution

Virtuma UG (haftungsbeschränkt) is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

26. Final Provisions

German law shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods, unless mandatory consumer protection provisions of the country in which the customer has their habitual residence provide otherwise.

If individual provisions of these Terms of Use are or become wholly or partly invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

Insofar as these Terms of Use are made available in several languages, the German version shall prevail in case of doubt, to the extent legally permissible.
